What the Massachusetts $1M Filing Rule Requires

Many Massachusetts real estate transfers priced at $1,000,000 or more will face a new filing requirement beginning November 1, 2025. The rule covers residential and commercial sales statewide when the gross price meets the threshold, unless a listed exemption applies.

Transfers on or after November 1, 2025, are the ones subject to the new withholding and filing requirements.

Filing Duties Tighten

The settlement agent, such as a closing attorney, title company, or escrow company, must submit Form NRW within 10 days after closing. Stable filing systems can matter because transfer tax revenue often supports broader local budget needs.

That return is required even when no tax is withheld.

Electronic filing through MassTaxConnect is mandatory.

A fully executed settlement statement must accompany the submission.

Seller Certification Becomes Mandatory

Each seller must complete a transferor certification for covered transactions.

The certification explains why withholding was unnecessary when an exemption applies.

The certification remains required even with separate proof of exemption.

Invalid or missing certification can force withholding at the maximum rate.

When the Massachusetts $1M Rule Takes Effect

As of November 1, 2025, Massachusetts will apply the new $1 million real estate filing rule to all covered closings statewide.

That effective date is definitive under 830 CMR 62B.2.4. It applies to residential and commercial transfers closing on or after that day.

No Overlap in Shift

The transition period is narrow and exact.

Closings completed before November 1, 2025 remain governed by prior withholding rules. They do not face the new filing requirement.

There is no grace period, partial applicability, or zero-day overlap between the old framework and the new one.

Separately, market participants are also preparing for mandatory inspections in Massachusetts residential transactions beginning in July 2025.

First Deadlines Arrive Fast

The Department of Revenue will begin accepting Form NRW on November 1, 2025.

For closings starting that day, electronic filing and remittance through MassTaxConnect are due within 10 days of closing.

Who Must Comply With the Massachusetts $1M Rule

Compliance under Massachusetts’s new $1 million filing rule turns first on the transaction itself, not the seller’s label or property type.

Any Massachusetts real estate sale or exchange with a gross sales price of $1,000,000 or more falls within the rule if it closes on or after November 1, 2025.

Nonresidents are the main group subject to mandatory withholding. That includes individuals and out-of-state entities selling qualifying Massachusetts property.

Full-year Massachusetts residents, certain nonprofits, continuing in-state business entities, and qualifying pass-through entities may avoid withholding if they submit a valid Transferor’s Certification.

Closing-Table Obligations

All sellers in covered transactions must complete the certification before recording.

Closing attorneys, escrow agents, and title companies handle withholding, filing, and title agent responsibilities, while relying in good faith on seller certifications.

Foreclosures and some mortgage-debt payoff transactions are excluded.

How to Calculate Surrender and Payment Amounts

For covered Massachusetts transfers, the surrender amount starts with a default withholding equal to 4 percent of the gross sales price.

This applies unless the transferor validly elects an alternative gain-based method.

Under the election, individuals generally use 5 percent of estimated gain.

Corporations may face 4 percent to 8 percent depending on method.

Estimated gain is found by subtracting adjusted basis and settlement expenses from the transferor’s gross sales price share.

Surtax Exposure and Withholding Timing

If the transferor is taxed under M.G.L. c. 62, § 4(d), an extra 4 percent applies only to the portion above the surtax threshold.

That added amount does not apply to the full price.

Withholding timing is strict.

The settlement agent must remit the calculated payment electronically through MassTaxConnect within 10 days after closing.

What Withholding Agents Must Report and Which Sales Are Exempt

Withholding agents have 2 duties on Massachusetts real estate sales of $1,000,000 or more. They must file Form NRW and, when required, send the withholding payment within 10 days after closing.

Form NRW must include the executed settlement statement and Transferor documentation. This includes the Transferor’s Certification.

The filing is still required even if no tax is withheld because an exemption applies. Good-faith reliance on seller certifications about residency or exemption status protects withholding agents.

Report or Exemption

Form NRW: Required for sales of $1M or more.

Transferor’s Certification: Required before closing.

Exempt from withholding

Full-year resident seller: Exempt.

Principal residence or divorce transfer: Exempt.

IRC 351, 368, or 1031 transfers: Exempt.

Additional exempt transferors include pass-through entities, resident trusts, REITs, government bodies, and qualifying tax-exempt organizations.

Assessment

Massachusetts is imposing a tighter reporting framework on certain high-value real estate sales, with new obligations centered on transactions at or above $1 million.

The rule sharpens compliance risks for withholding agents and other affected parties by setting clearer filing, payment, and disclosure standards.

Its impact will depend on transaction type, exemption status, and the accuracy of surrender calculations.

Once the requirement takes effect, there will be little room for reporting errors.
